01About these terms

These Terms & Conditions apply to your use of this website (the "website") and to the free Datocrest data referral program (the "program"). Datocrest is a business name of Uppertech Inc. "Datocrest", "we" and "us" mean Uppertech Inc., doing business as Datocrest. By using the website or submitting a form on it, you agree to these terms. If you do not agree, please do not use the website.

02Who we are

Datocrest runs a free introduction program for established businesses whose historical records may be of interest to an AI data company. The program is operated by Uppertech Inc. You can reach us through the contact form on this website.

03Using the website

You may use the website for lawful purposes only. You agree not to:

• submit false or misleading information, or apply on behalf of a business you are not authorized to represent;
• refer a business without its owner's knowledge;
• try to break, overload or get unauthorized access to the website, its forms or any connected system;
• use automated tools to scrape the website or send spam or bulk submissions through its forms;
• upload or send anything unlawful, harmful or that infringes someone else's rights.

04Intellectual property

The website's text, design, graphics, the Datocrest name and logo, and the code are owned by Uppertech Inc. or used with permission, and are protected by copyright and other laws. You may view and print pages for your own use, but you may not copy, republish or sell them without our written permission.

05Third-party links

The website may link to other services. We do not control them and are not responsible for their content or practices. Their own terms and privacy policies apply.

06The data referral program

The program is a free introduction service run by Datocrest.

• What it is: we review applications and refer qualifying businesses to a third-party AI data company that may license business records. Datocrest is not the buyer, and we do not negotiate or sign anything on your behalf.
• Eligibility: typically an established business in the US, Canada, the UK or Australia that meets a minimum office-staff size for its industry and has several years of records. The buyer decides on its own criteria.
• Review: our team reviews every application and replies by email. Submitting an application does not guarantee an introduction, an offer, a deal or any amount.
• Introductions: we share your details with the buyer only with your consent, when we make the introduction.
• Fees: the program is free to you. Datocrest (Uppertech Inc.) may receive a referral fee from the AI data company if a deal closes. You never pay Datocrest anything for the introduction. See our Referral Disclosure.
• Referrals from others: if you refer a business to us, we use the details you send only to make the introduction.
• Your decision: any agreement is made directly between you and the buyer, and you keep full control of what you share and on what terms.
• We never access your data: Datocrest never asks for your logins and never receives, sees or reviews your business records.

07Not legal, tax or compliance advice

Nothing on the website, and nothing we say about the program, is legal, tax, financial or compliance advice. Before you share or license any records, review the agreement with your own lawyer and advisors. Law firms should consider attorney-client privilege and confidentiality duties, and medical practices and other healthcare businesses should consider HIPAA and patient-privacy rules, with qualified counsel before sharing any records.

08No warranty

The website and the program are provided "as is" and "as available". To the extent the law allows, we make no warranties of any kind, express or implied, including that the website will be error-free or always available, or that any information on it is complete or current.

09Limitation of liability

To the extent the law allows, Uppertech Inc. (Datocrest) is not liable for any indirect, incidental, special or consequential damages arising from your use of the website or the program. Datocrest is not responsible for the AI data company's decisions, offers, payments or conduct, or for any agreement you make with it. Our total liability related to the website and the program is limited to $100.

10Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in New York, unless the law where you live requires otherwise.

11Privacy

How we handle information you send us is explained in our Privacy Policy.

12Changes

We may update these terms from time to time. The date at the top of this page shows when they last changed. Using the website after a change means you accept the updated terms.
